Character.AI files for Chapter 11 bankruptcy; Disney lined up as $20M lead bidder

On 12 October 2026, Character.AI announced it had filed for Chapter 11 bankruptcy in Delaware to facilitate a court-supervised sale of the company, citing 'significant legal, regulatory, and operational headwinds' over the past year. The company said in its official blog that the platform 'remains up and running' and that paid subscriptions and billing are unchanged for now.

TechCrunch and The Verge, reporting on 13 October, said court filings put the company's assets and liabilities each in the range of $50–100 million, and that Disney had agreed to act as the stalking-horse (lead) bidder at $20 million for some assets plus a non-exclusive, perpetual licence to its technology. The sale is expected to close in late November or early December 2026; if no viable bid emerges, the platform could be wound down.

The collapse of one of the category's defining apps is the clearest signal yet that heavy engagement is not the same as a viable business in consumer AI — inference costs scale with every message, while safety litigation and tightening regulation compound the economics of open-ended companion chat.
